Et le 21 d\u00e9cembre, l\u2019Afep-Medef publiait une version r\u00e9vis\u00e9e de son Code. Sans surprise, il y est beaucoup question de \u00ab\u00a0RSE\u00a0\u00bb. <\/strong><\/em><\/p>\n<p>Que l\u2019on aborde le gouvernement d\u2019entreprise, les r\u00e9mun\u00e9rations des dirigeants ou les attentes des conseillers en vote. Nous avons extrait dix axes de progr\u00e8s* pour une information transparente, qui \u00e9claire les actionnaires et investisseurs et favorise les votes lors des prochaines Assembl\u00e9es g\u00e9n\u00e9rales.<\/p>\n<p><strong>Gouvernance\u00a0:<\/strong><\/p>\n<p>L\u2019AMF a soulign\u00e9 le r\u00f4le majeur du Conseil en mati\u00e8re de RSE.<\/p>\n<ul>\n<li>1. Matrice des comp\u00e9tences\u00a0: pr\u00e9ciser la nature des comp\u00e9tences RSE ou d\u00e9veloppement durable (climatique, environnementale, sociale, etc.).<\/li>\n<li>2. Mettre en coh\u00e9rence la matrice des comp\u00e9tences avec la strat\u00e9gie de l\u2019entreprise et les CV des administrateurs, notamment concernant les expertises RSE.<\/li>\n<li>3. Pr\u00e9senter de mani\u00e8re individualis\u00e9e les comp\u00e9tences de chaque administrateur, et leur \u00e9volution au regard des besoins identifi\u00e9s dans le cadre de l\u2019\u00e9valuation du Conseil.<\/li>\n<li>4. Formation des administrateurs\u00a0: d\u00e9tailler dans une section sp\u00e9cifique, ou un tableau, les th\u00e8mes de formation suivis par les administrateurs, nouveaux ou pas, et pr\u00e9ciser le nombre d\u2019heures de formation.<\/li>\n<li>5. Pour chaque Comit\u00e9 du Conseil, pr\u00e9ciser les comp\u00e9tences principales requises et les comp\u00e9tences repr\u00e9sent\u00e9es, tout particuli\u00e8rement en mati\u00e8re de RSE.<\/li>\n<li>6. Travaux du Comit\u00e9 d\u2019audit\u00a0: mentionner les actions men\u00e9es en mati\u00e8re de risques extra-financiers et le p\u00e9rim\u00e8tre d\u2019intervention dans la DPEF.<\/li>\n<li>7. Consacrer une partie des travaux du Conseil aux orientations strat\u00e9giques RSE, notamment climatiques, et au suivi des objectifs fix\u00e9s.<\/li>\n<li>8. Pr\u00e9senter le r\u00e9f\u00e9rent RSE au sein du Conseil et son champ d\u2019intervention.<\/li>\n<\/ul>\n<p><strong><br \/>R\u00e9mun\u00e9rations<\/strong><\/p>\n<ul>\n<li>9. Pr\u00e9ciser la pond\u00e9ration de chacun des crit\u00e8res extra-financiers entrant dans le calcul de la r\u00e9mun\u00e9ration variable annuelle et moyen-long terme.<\/li>\n<li>10.
