Des \u00e9l\u00e9ments de synth\u00e8se, des infographies et un langage moins technique faciliteraient l\u2019acc\u00e8s et la compr\u00e9hension de ce sujet complexe.<\/strong><\/p>\n<p><span style=\"color: #ff291e;\">Entretien avec\u00a0<a style=\"color: #ff291e;\" href=\"https:\/\/www.linkedin.com\/in\/h%C3%A9l%C3%A8ne-solignac-b2548410\/\" target=\"_blank\" rel=\"noopener\">H\u00e9l\u00e8ne Solignac<\/a>, experte Labrador en gouvernance d\u2019entreprise<\/span><\/p>\n<ul>\n<li><strong>Les entreprises font chaque ann\u00e9e des progr\u00e8s significatifs en mati\u00e8re de transparence. Sauf, notamment, sur la partie R\u00e9mun\u00e9rations du chapitre Gouvernance, pourquoi ?<\/strong><\/li>\n<\/ul>\n<p>Dans l\u2019ensemble, le niveau de transparence a effectivement progress\u00e9 ces derni\u00e8res ann\u00e9es. Une tendance de fond qui s\u2019explique par la r\u00e9glementation (notamment la\u00a0<a href=\"https:\/\/www.gouvernement.fr\/action\/la-loi-pour-la-transparence-l-action-contre-la-corruption-et-la-modernisation-de-la-vie#:~:text=Avec%20la%20loi%20Sapin%202,la%20justice%20en%20mati%C3%A8re%20%C3%A9conomique.\" target=\"_blank\" rel=\"noopener\">loi Sapin II<\/a>\u00a0et\u00a0<a href=\"https:\/\/www.legifrance.gouv.fr\/jorf\/id\/JORFTEXT000039424586\" target=\"_blank\" rel=\"noopener\">la transposition de la directive europ\u00e9enne sur les droits des actionnaires<\/a>), mais aussi par la pression des investisseurs et des\u00a0<em>\u00ab proxy advisors \u00bb<\/em>, sans oublier\u00a0<a href=\"https:\/\/www.amf-france.org\/fr\" target=\"_blank\" rel=\"noopener\">l\u2019AMF<\/a>.\u00a0Il est vrai aussi que la complexit\u00e9 de la r\u00e9glementation fran\u00e7aise sur le\u00a0<em>Say on Pay<\/em>\u00a0est un v\u00e9ritable handicap pour les soci\u00e9t\u00e9s cot\u00e9es. Elle p\u00e8se sur la clart\u00e9 et la transparence des rapports sur la r\u00e9mun\u00e9ration.<\/p>\n<p>Par exemple, en France, contrairement aux autres pays, notamment europ\u00e9ens, la politique de r\u00e9mun\u00e9ration, en principe pluriannuelle, est soumise au vote chaque ann\u00e9e \u00e0 l\u2019assembl\u00e9e g\u00e9n\u00e9rale. Il en va de m\u00eame pour les informations relatives \u00e0 la mise en \u0153uvre de cette politique, globalement et pour chaque dirigeant ex\u00e9cutif. R\u00e9sultat : l\u2019articulation des rapports est tr\u00e8s juridique, cal\u00e9e sur les r\u00e9solutions, et l\u2019information parfois redondante.<\/p>\n<p><strong>\u00ab Le lien entre r\u00e9mun\u00e9ration et performance financi\u00e8re et extra-financi\u00e8re au regard de la performance de la soci\u00e9t\u00e9 n\u2019est pas suffisamment explicit\u00e9. \u00bb<\/strong><\/p>\n<ul>\n<li><strong>Comment progresser dans ce domaine particuli\u00e8rement sensible et tr\u00e8s attendu ?<\/strong><\/li>\n<\/ul>\n<p>Les dispositifs de r\u00e9mun\u00e9ration sont complexes, multi-couches (fixe, variable court terme variable long terme, r\u00e9mun\u00e9ration diff\u00e9r\u00e9e comme les retraites-chapeaux, les indemnit\u00e9s de d\u00e9part et de non-concurrence\u2026). Ce sont donc, il est vrai, beaucoup d\u2019informations d\u00e9taill\u00e9es qui doivent figurer dans le rapport.<\/p>\n<p>Il reste que des illustrations sous forme de graphiques ou de tableaux synth\u00e9tiques faciliteraient grandement la lecture et la compr\u00e9hension. Certains \u00e9l\u00e9ments manquent encore, comme le tableau AMF sur les taux d\u2019atteinte des r\u00e9mun\u00e9rations variables sur plusieurs ann\u00e9es.
