Pour eux, il faut conditionner une partie des bonus \u00e0 la r\u00e9alisation d\u2019objectifs extra-financiers.<\/strong><\/em><\/p>\n<p><strong>Entretien\u00a0avec\u00a0<a href=\"https:\/\/www.linkedin.com\/in\/h%C3%A9l%C3%A8ne-solignac-b2548410\/\" target=\"_blank\" rel=\"noopener\">H\u00e9l\u00e8ne Solignac<\/a>, experte Labrador en gouvernance d\u2019entreprise<\/strong><\/p>\n<p><strong>Cette initiative vous a-t-elle surprise\u00a0?<\/strong><\/p>\n<p>Veolia, Engie, MAIF\u2026 Les grandes entreprises signataires sont connues comme \u00e9tant assez offensives sur les questions de d\u00e9veloppement durable. Cela fait partie de leurs pr\u00e9occupations et certaines d\u2019entre elles int\u00e8grent vraisemblablement d\u00e9j\u00e0 des crit\u00e8res sociaux et environnementaux dans le calcul des bonus du management ex\u00e9cutif. Aujourd\u2019hui, les pr\u00e9sidents de ces grands groupes europ\u00e9ens veulent un texte qui impose \u00e0 une cible tr\u00e8s large d\u2019entreprises, une r\u00e9mun\u00e9ration verte, c\u2019est \u00e0 dire la prise en compte de la dimension extra-financi\u00e8re dans la r\u00e9mun\u00e9ration variable des dirigeants op\u00e9rationnels, au-del\u00e0 des crit\u00e8res financiers \u00e0 court terme.<br \/>Cela concerne les responsables qui ne sont pas dirigeants mandataires sociaux, soumis eux au Say on Pay et dont les r\u00e9mun\u00e9rations variables int\u00e8grent d\u00e9j\u00e0 des crit\u00e8res dits ESG. C\u2019est finalement la suite logique des choses. La Directive europ\u00e9enne sur les droits des actionnaires, transpos\u00e9e en droit fran\u00e7ais en 2019, pr\u00e9voit que la r\u00e9mun\u00e9ration des dirigeants mandataires sociaux doit \u00eatre en coh\u00e9rence avec la politique de r\u00e9mun\u00e9ration de l\u2019ensemble de l\u2019entreprise. Bien que sans pouvoir de d\u00e9cision directe en ce qui concerne les dirigeants op\u00e9rationnels, il revient au comit\u00e9 des r\u00e9mun\u00e9rations et au conseil d\u2019administration de s\u2019en assurer.<\/p>\n<p style=\"padding-left: 40px;\"><em style=\"font-size: revert; color: initial;\"><strong>\u00ab\u00a0Il est coh\u00e9rent que la dimension RSE irrigue toute l\u2019entreprise\u00a0\u00bb<\/strong><\/em><\/p>\n<p><strong>Quel est son principal m\u00e9rite ?<\/strong><\/p>\n<p>La strat\u00e9gie RSE s\u2019inscrit dans la strat\u00e9gie globale de l\u2019entreprise. Le conseil est l\u00e0 pour s\u2019assurer de la bonne mise en \u0153uvre de celle-ci et la politique de r\u00e9mun\u00e9ration verte applicable aux collaborateurs peut jouer un r\u00f4le incitatif dans l\u2019atteinte des objectifs RSE qui ont \u00e9t\u00e9 d\u00e9finis. Le Code AFEP-MEDEF rappelle que \u00ab\u00a0<em>la r\u00e9mun\u00e9ration des dirigeants mandataires sociaux doit \u00eatre comp\u00e9titive, adapt\u00e9e a\u0300 la strat\u00e9gie et au contexte de l\u2019entreprise et doit avoir notamment pour objectif de promouvoir la performance et la comp\u00e9titivit\u00e9\u0301 de celle-ci sur le moyen et long terme en int\u00e9grant un ou plusieurs crit\u00e8res li\u00e9s a\u0300 la responsabilit\u00e9s\u0301 sociale et environnementale\u00a0\u00bb<\/em>.<\/p>\n<p style=\"padding-left: 40px;\"><em style=\"font-size: revert; color: initial;\"><strong>\u00ab\u00a0Des indicateurs lisibles et suffisamment exigeants\u00a0\u00bb<\/strong><\/em><\/p>\n<p>Nous sommes bien ici sur des logiques qui se r\u00e9pondent. Il est coh\u00e9rent que la dimension RSE irrigue toute l\u2019entreprise. Il s\u2019agit l\u00e0 de nouveaux outils permettant de sortir des injonctions souvent contradictoires, entre le court et le moyen terme, entre le financier et l\u2019extra-financier.<\/p>\n<p><strong>Quels sont les points d\u2019attention, les points de vigilance \u00e0 cette initiative ?<\/strong><\/p>\n<p>Il y en a plusieurs. Et ils sont importants. Tout d\u2019abord, dans la d\u00e9finition des indicateurs. Ces derniers doivent \u00eatre lisibles et suffisamment exigeants, en lien direct avec la strat\u00e9gie RSE de l\u2019entreprise. Il faut aussi s\u2019assurer que les dirigeants ex\u00e9cutifs concern\u00e9s aient bien dans l\u2019exercice de leurs fonctions ou de leurs responsabilit\u00e9s un levier sur l\u2019atteinte de ces objectifs.<\/p>\n<p>Enfin, Pascal Canfin, D\u00e9put\u00e9 europ\u00e9en et Pr\u00e9sident de la Commission de l\u2019environnement, de la sant\u00e9 publique et de la s\u00e9curit\u00e9 alimentaire, et signataire de la lettre \u00e0 la Commission europ\u00e9enne, souhaite que toutes les entreprises de plus de 250 salari\u00e9s, cot\u00e9es ou non, soient concern\u00e9es par le texte. Il ne faudrait pas que cette nouvelle contrainte donne naissance \u00e0 un cadre trop rigide pour bon nombre d\u2019entreprises, notamment pour les plus petites.
